This Agreement sets terms and conditions for participation in Dream Factory Racing LLC

PARTNERS or PRODUCT PARTNERS: companies who partner with Dream Factory Racing LLC, allowing Dream Factory Racing LLC to mediate purchase of their products via the Dream Factory Racing LLC website and platform.

2. TERMS OF THE AGREEMENT

1      The use of the website and/or any services is subject exclusively to this Agreement. By registering to and using the website you accept any condition of this Agreement, its terms and all the policies and guidelines that are incorporated. It is your responsibility to guard your password. Sharing your password with a third party constitutes a breach of this Agreement. We recommend that you never share or disclose your Account information with anyone, create complex and secure password, change your password from time to time, always log out when finished using the Account. Any loss that occurs because of negligent security practices, whether it be on the part of you, or Dream Factory Racing LLC, will not be the responsibility of Dream Factory Racing LLC, its directors, associates or employees.

5      You confirm that at the registration at the Website you have entered correct data about yourself and that afterwards, when changing or adding this data in the Account, you will enter only correct data. The User shall bear any losses that occur regarding to the submission of invalid/incorrect data. 1      You cannot expect profit from Dream Factory Racing LLC and shall have no expectations of profit from the future success of Dream Factory Racing LLC’ business and/or the efforts of Dream Factory Racing LLC or other persons. Dream Factory Racing LLC’ value depends on your active involvement in using and promoting it.

2      Dream Factory Racing LLC does not entitle you to any intellectual property rights regarding Dream Factory Racing LLC and its products and services.

3      Dream Factory Racing LLC may fully unilaterally in its own discretion and possibly make decisions on spending, investing and otherwise using the funds received.

4      Dream Factory Racing LLC is not required to consult with you regarding any activities and/or decisions of Dream Factory Racing LLC or coordinate it with you. You will not have any influence in the development or governance of Dream Factory Racing LLC.

5      Dream Factory Racing LLC members cannot request an audit of Dream Factory Racing LLC and its business, and an investigation of Dream Factory Racing LLC’ activities.

5. DREAM FACTORY RACING LLC’s BUSINESS AND PRODUCTS

1      Dream Factory Racing LLC will put effort, but it is not obliged to implement goals, promises and ideas indicated in this Agreement, the website or elsewhere. Neither Dream Factory Racing LLC, nor its management, employees, advisors, partners, affiliates, or any other persons associated with Dream Factory Racing LLC shall be held liable for not achieving goals, promises and ideas indicated in this Agreement, the website or elsewhere.

6. DREAM FACTORY RACING LLC PRODUCTS PROMOTION

1      For the further success of Dream Factory Racing LLC’ business and value of their product partners, we depend on any marketing efforts from all members. Therefore, by participating in the Dream Factory Racing LLC Community, you acknowledge and agree to also promote Dream Factory Racing LLC and its product partners based on sales commission or other benefits solely determined by Dream Factory Racing LLC.

2      We would be delighted if you promote Dream Factory Racing LLC and our partner’s products and refer potential clients, and act as promoter of services and products.

3      Depending on Dream Factory Racing LLC sole and unilateral decision you may be eligible to receive commissions or other benefits in case of products and client’s promotion. Dream Factory Racing LLC has the right to suspend commission payments unilaterally and charge/set-off overdue payments from you if you breach terms and conditions of this Agreement, website, etc.

7. NO REFUNDS

1      We shall not perform any refund regarding any purchase mediated by Dream Factory Racing LLC for any reason, including, but not limited to, loss of your purchased product due to technical reasons, errors, malfunction of the wallet, transaction failures, etc. All products are sold by our product partners as-is without any guarantee.

2      You confirm that you have read and understand our no refunds policy, and you acknowledge that all purchases are final and non-refundable, and Dream Factory Racing LLC is not required to provide a refund for any reason, and that you will not receive money or other compensation of a refund.

8. TAXES

1      You acknowledge to be solely responsible for any taxes that you may owe as a result of this Agreement, participation in Dream Factory Racing LLC and purchase of our partners’ products, and are solely responsible to collect, report and remit any such taxes required under law applicable to you. You shall declare, bear and pay all such taxes, duties, imposts, levies, tariffs and surcharges that might be imposed by the laws and regulations of any jurisdiction as a result of or in connection with any revenue gained from involvement in Dream Factory Racing LLC and its product partners. You acknowledge and agree that Dream Factory Racing LLC has no responsibility to collect, report or remit any applicable taxes in connection with this Agreement, involvement with Dream Factory Racing LLC or our partners. You hereby agree to fully indemnify, defend, and hold Dream Factory Racing LLC and our partners (and its affiliated entities) harmless from any and all claims, demands, damages, awards, fines, costs, expenses and liability in any way associated with the foregoing obligations or otherwise with respect to any claim, demand or allegation of any tax in any way associated with this Agreement, involvement with Dream Factory Racing LLC or our partners.

2      Dream Factory Racing LLC provides no advice to the tax implication of any jurisdiction.

9. RISKS

For any purchase mediated via Dream Factory Racing LLC, you expressly acknowledge and assume the risks stated below:

1      Your purchase of any product, registration at Dream Factory Racing LLC and participation in any ICO will be seen as you accepted this agreement and thereby all the risks outlined in this Agreement, the Website or elsewhere. Before you decide to participate in Dream Factory Racing LLC or purchase any product from our partners, you should:

1      Dream Factory Racing LLC has the right to set a KYC process (“know your customer”) and/or any other kind of due diligence for customer, from the very first beginning (starting at customer registration) and at any time. Dream Factory Racing LLC’ KYC may require certain personal information about you, including but not limited to, your name, address, telephone number, email address, date of birth, personal code, passport, utility bills, proof regarding source of funds, and others. Dream Factory Racing LLC’ KYC may also require certain information or ask you for certain actions to verify your identity or comply with applicable law. By submitting the asked personal information, you verify that this various information is accurate and authentic, and you agree to update it in case of changes. 2      If you violate this Agreement, any anti-money laundering, counter-terrorism financing, or other regulatory requirements, by your purchase of offered product and Dream Factory Racing LLC discovers this, your purchases shall be invalid, even past and already closed purchases. Dream Factory Racing LLC will terminate this Agreement with you immediately, deny your further access to the system or to offered products, reject delivery of any products and request return of any delivered product, irrespective of any payment that you could have made.

3      Use of products offered via Dream Factory Racing LLC can be subject to international export controls and economic sanctions requirements. 2      Personal data refer to all information about an individual who can be identified by this information; or from this information and other information to which we have or are likely to have access, including information in our records that may be updated from time to time, and any other information relating to any individuals whom you have provided to us over time during your interaction with Dream Factory Racing LLC.

3      You acknowledge that you have provided correct information about yourself in any required form and that you subsequently enter correct information when modifying or adding data to the website. 2      You hereby confirm that all monies for your participation in Dream Factory Racing LLC or purchase of products offered via Dream Factory Racing LLC are either in your possession or you have the right to engage in transactions in such funds. You warrant having such knowledge and experience in financial and business matters to evaluate the merits and risks of participating in Dream Factory Racing LLC and/or purchasing products offered via Dream Factory Racing LLC, and to be able to bear the economic risk of a total loss of such purchase.

21. JURISDICTION, APPLICABLE LAW AND DISPUTE RESOLUTION

1      Dream Factory Racing LLC reserves the right, at its sole discretion, to change the jurisdiction of Dream Factory Racing LLC and this agreement at any time, and to use all its partner companies, subsidiaries, and other affiliates to implement this agreement, the products and services and other activities related the operations of Dream Factory Racing LLC.

2      The law of Switzerland/Europe shall apply to the interpretation, validity and enforcement of this agreement and to any action in connection with it.

3      Disputes arising from the agreement between the user and Dream Factory Racing LLC are governed by negotiation between the user and Dream Factory Racing LLC. In the event of non-performance of an agreement within fourteen days, any disputes, disagreements, or claims arising out of or relating to this agreement, its violation, dissolution or validity, which are not resolved by the user and Dream Factory Racing LLC, shall be settled in the arbitration court of the United States of America. Hereby, both the user and Dream Factory Racing LLC submit to the exclusive jurisdiction of the courts in the United States of America. In the event of a breach of law in his home country or nationality by using any service provided by Dream Factory Racing LLC, the user shall be liable for any damage to Dream Factory Racing LLC and agrees to forfeit any assets within his Dream Factory Racing LLC account, at the discretion of Dream Factory Racing LLC or its employees.

22. TERMINATION (LIMITATION) OF THE AGREEMENT

1      The term of this agreement will be effective for the period of successful registration of the account until the time as this agreement terminates for any reason whatsoever. A closure of the account will result in the termination of the agreement.

2      At any time and for any reason at its sole discretion, Dream Factory Racing LLC may terminate this agreement, terminate the possibility for you to purchase products offered via Dream Factory Racing LLC, terminate your access to the website and to your account and suspend all outstanding transactions and/or funds at any time without notice. Dream Factory Racing LLC assumes no liability or obligation upon termination of this agreement. In the event of termination of this agreement for any reason, no amount will be refunded by Dream Factory Racing LLC.

23. MISCELLANEOUS

1      You acknowledge that you have read this agreement and understood its terms & conditions and consequences.

2      In case that any term, provision, covenant, or restriction of this agreement by a court of competent jurisdiction is declared to be invalid, unlawful, void or unenforceable, the remainder of the terms, provisions, covenants and restrictions set forth in this agreement shall remain in full force and effect and will in no way be affected, impaired or invalidated. In order to find and use alternative opportunities, the contracting parties are requested to use their economically viable means and efforts to achieve the same or substantially the same result as provided for such term, condition, covenant or limitation. It is hereby agreed and stated that the parties will, with the best intentions, implement the remaining terms, conditions, covenants, and limitations without the inclusion any of the following, which are hereby declared as invalid, illegal, void or unenforceable.

3      This is a personal agreement with you, which may not be assigned or delegated to anyone else. Any attempt by you to assign, transfer or delegate this agreement and the rights and/or obligations set forth in this agreement shall be nullified. Dream Factory Racing LLC may freely assign this agreement and/or delegate its duties without consent or notice.

4      This agreement, as well as any terms and conditions posted on the website from time to time, constitute the entire agreement between the parties with respect to the subject matter hereof. Nothing in the agreement shall be deemed a waiver unless such waiver is in written form and signed by the party benefiting from the enforcement of this provision. However, waiving any provision of the agreement shall not be deemed a waiver of any subsequent breach of such provision or waiver of any similar provision. In addition, a waiver of any breach or failure to enforce any term or condition of the agreement shall in no way affect, limit or waive the rights of any party to thereafter enforce strict compliance with all terms and conditions of this agreement.

5      You agree not to make any negative, damaging or adverse statements regarding Dream Factory Racing LLC and/or its partners, any subsidiaries or affiliates, their business operations, products or product histories, or their respective former or current officers, management, agents, distributors or consultants, which may have a negative effect on the reputations of Dream Factory Racing LLC, any subsidiaries or affiliates, or respective former or present management, advisors, distributors, agents or consultants of Dream Factory Racing LLC or its subsidiaries or affiliates or its business or business aspirations.

6      This agreement shall not be construed in a manner that would create a joint venture, partnership or any other similar relationship between you and Dream Factory Racing LLC.

7      If you fail to comply with the agreement, act fraudulently or illegally or make unauthorized transmission and use of personal information, Dream Factory Racing LLC reserves the right to revoke this agreement at any time.

8      The English language version applies if translated copies of the agreement and the terms and conditions published on the website from time to time, may conflict with each other.

Rules - Regulations – Race Calendar

Introduction.

X-SiM Racing (X-SiM™) League announces its X-Sim Series GT3 Challenge. GT3 "Grand Touring Style Racing'' Virtual World Championships. Top SIM racers, around the world, have come together to Join by being part of X-SiM™ Racing Series.
Professional Sim Racers have graciously joined this X-SiM Racing Series to help through #MicroSponsoring all those racers, teams that need assistance as #MicroSponsoringBeneficiary, assisting them and the SIM Racing eSports. Each week these X-SiM™ Races will be "Live" streamed and broadcast to our audience. Any viewer can subscribe through our Websites and Apps to support XSiM Racing. Corporations also can make very lucrative #MicroSponsoring, supporting Individual Racers, and Teams participating each week. We are currently working with Corporate Sponsors to make this special event even more powerful and we hope to get future alliances established as we start to grow the innovative Project. We would like to thank all the SIM racers who have created their XSiMc RACING Community free of charge and who are and will be racing with us in 2022.

Drivers Today can register to participate at the Virtual Race for Points, presented by XSiMc RACING Community, to unite the X-SiM Series events for 2022. By being active on the XSiMc and end up in the top 20 of the month you will receive a reward.

1.1. Regulations.

This regulation complements the sports Code of iRacing "FIRST Sporting Code". All participants of this competition assume that they have read and understand the conditions specified therein.

This supplemental sports code will apply to any test, practice, classification, and race session organized by "X-SiM™" within this championship.

The Stewards shall act in accordance with the above-mentioned regulations.

It is going to be a free championship. There will be no entry fees to participants. Donations are welcome to any individual or Corporation.
X-SiM Racing reserves the right to make changes to the regulation if any unforeseen events arise, notifying the drivers a week in advance of the change being made.

Changes will only be made if an extraordinary situation occurs.

2.0. Registration.

Drivers who become "Regulars" will be earning points for the Super League X-SiM Racing Championship for 2023 which will be held in Florida.

All drivers that register will have opportunities to be part of the 2022 X-SiM Racing Championship.

All registered drivers will receive a League invite in iRacing. You have to accept this invite to be able to attend the championship.

Sign-up has to be done the latest 72 hours (3 days) before the first race.

2.1. Number of drivers.

The maximum number of drivers for the Championship will be 90, divided over 2 splits.
Single split will contain a maximum of 50 drivers.

Multi split system:
Split 1 will contain a maximum of 40 drivers.
Split 2 will contain a maximum of 50 drivers. When the number of sign-ups + accepted league invites exceeds 65 drivers, X-SiM Racing will commit to a 2 splits system.

2.2. Attendance.

A minimum of 4 out of 5 races need to be attended and no prior disconnection before the feature race. You MUST start in the feature race and finish within 70% of the race winner to keep competing for the available prize pool.

2.3. Liveries.

The car liveries are made by X-SiM™, for the broadcasts we put them on the Local computer, we do not depend on external programs such as Trading Paints.
If someone wants to have the skin to see it and put it on in Trading Paints for personal use , they must request it from the X-SiM organization. This livery may only be available for private use and not public.

2.4. Your Car Number.

Upon sign-up the driver will be able to fill in his/her preferred Car Number.

The number will be kept until the driver does not sign-up for the next season at X-SiM Racing.
The choice of numbers goes from #0 to #999.
When the car number already is occupied a free car number will be assigned to you by X-SiM Racing.

3.0. Entry list.

At the start of the championship the entry list / driver list will be published on the Discord channel of X-SiM Racing.
See chapter 2.0 for registration information.

3.1. Invitation to the league.

All drivers that have signed up will receive a league invitation in iRacing. Accept your iRacing League invite the latest 72 hours before the start of the first Race or play-off qualification session at the minimum (administration purposes).
Not meeting this deadline may result in not being able to attend the X-SiM Racing series.

3.2. Race series sessions setup.

Practice session:
• Weekday: Saturday
• Session open: 7:00pm GMT+2/CEST (Central Europe Time)
• 25 minutes practice
• 15 minutes qualification
• 20 minutes race (standing start)

The races will be in the original format. Races from 20min without pit stop.

• 40 minutes practice
• 15 minutes qualification (6 laps max)

• 5 min warmup

3.4. Schedule of events.

X-SiM Racing Series – GT3 Challenge will follow the iRacing Fanatec GT3 Series Schedule as much as possible. Races will be held on Sundays. – X-SiM Series - GT3 Challenge

3.5. Hosted settings.

All sessions (practice and race) will be hosted via the X-SiM Series League in iRacing. So only drivers that are registered and added to the iRacing League will be able to participate.
The configuration of each "session" will be as follows:

• Sky: sky dynamic.
• Weather: automatically generated.
• Day/Night Transition: x1
• Virtual Time: Same at GT3 Fanatec Challenge Series
• Server: Germany.
• Setup: Fixed.
• Deposit: limited to 50%
• Track status: 10% from practice, and constantly evolving during class and race.
• Output: stopped.
• Fast Repairs Single split system: 1

3.6. Additional rules.

A Minimum of 4 races are required to keep your place in split 1 for the next season, regardless of iRating.

There is no drop round.

Promotion – Demotion system will be announced during season 5.

3.7. Briefing.

Every Sunday at 6:45pm GMT+2/CEST (Central Europe Time) there is a live drivers briefing on Discord in the “Drivers Briefing” voice channel.

Attending the briefing for the first race of the season is mandatory.

The respective information of each event will be sent via Discord to each of the participating drivers. It is understood that this information should be read. The organization remembers that ignorance of the rules does not exempt them from compliance.

4.0. Results.

A minimum of 70% of the total distance completed by the leader must be completed to score (rounded upwards).

Results will not be official until Tuesday evening after the race. The official results will be posted by the Stewards on Discord and XSiMc.

5.0. Score.

The driver who scores the most points at the end of the event series will be the champion.

They will not rule out results at the end of the championship. That is, there will be no room for any kind of "drop week".

In the event of a tie to points, the most wins will count. Match the number of second positions. If re-matched, the number of third positions. And so on.

If all results match, it will be unpacked based on the total number of laps given. And if it matches, the total number of incidents.

6.0. Track Behavior.

If a driver on the track has damage that may affect other drivers, the driver must stop in the pits and make any repairs that are relevant. If they are too serious, the "towing" option should be made.

Good behavior is expected both on the radio and by the race chat. If there is disrespect, the case will be investigated and sanctioned if necessary. We remember that this is a championship organized for your enjoyment. During the qualification the race the (voice-)chat function is disabled. During Practice and Warmup the (voice-)chat function is enabled.

You can use a spotter like Crew Chief to get relevant information such as box entry or exit, passing left or right, incidents that are happening.

6.1. Penalty.

The penalties / sanctions can be found in the #sanctions channel in Discord and on the X-SiM Racing website under SSL (Stewarding Sanction List) in the top menu. A few important penalties:

Intentional or Malicious behavior (X-SiM Racing) may take immediate action including but not limited to suspensions, forfeiture of race winnings or points, even expulsion from our championships.

Every driver has a responsibility to be aware of the given penalties and comply to them. e.G. When a driver has been excluded from qualifying that driver should remain in the pits during qualifying.

A driver risks additional penalties for not complying to the given sanctions.

6.2. Protests.

Drivers may file a protest to the Stewards at our Discord with a concise detailed description in case of a blue flag situation or anything else that is not automatically registered by iRacing (e.g. contact, off-tracks).

We have a report form where you may send in your reports. Just a few simple rules for the form:
- Reports may be send in from: Sunday 11pm CEST / 23:00 (2 hours after the race) up until the Tuesday after the race 6pm CEST (18:00)
- When a report is send outside the time frame it most likely will not be looked at.
- Fill in the names correctly.
- ONLY use the short explanation section at the bottom for those Infringement categories to which it applies.

By participating in this series, every driver agrees to accept the decisions of X-SiMRacing. A driver who is suspended based on incidents in this series may or may not also be suspended from the Championship.

6.3. Appeals.

Only a driver that has been penalized may appeal a decision. A driver may appeal a protest decision by Stewards with details on why they think the wrong decision has been made. The appeal board reviews the appeal with the race director. All decisions are final. Appeals will only be looked into when it is sent within 24 hours of publishing of the final results and sanctions.

A driver can only appeal a sanction once per season.

An appeals can be filed via the ticket system in Discord.

7.0. Prize pool.

Racers or Collaboration Partners that might be interested in joining our X-SiM GT3 Challenge.

• A total of $4000+ for Racing with the X-SiM GT3 Challenge. The prize money is divided over multiple "championships"

To qualify for pay-out you need to comply with the requirements stated in chapter 2.2. When these requirements have been met the final pay-out is based on your position in the final standings of the Championship. This is regardless of drivers in front that have not met these requirements.
- For example: You finish 18th in the Championship but P16 and P17 have not met the stated requirements for pay-out - You will receive the pay-out that belongs to P18

More detailed information about the fill-in of the prizes will be given in a later stage of the running season.

Additional prizes may be revealed at any stage during the season. Stay tuned to our discord and XSiMc community to stay informed.

7.1. Championships.

Championship points:

All drivers that compete in the races receive Championship points in the overall standings.

Rules to receive Championship points:

* You need to finish the race in "Running" order (Disconnect or DNS are excluded)
* You must have covered at least 70% of the race distance compared to the winner.
* Additional for the feature race: when you DNF due to damage and no more fast repair available, but still have covered 70% of the race distance you will be allowed to disconnect. Points WILL BE calculated.

GT3 Series: Safest Driver Championship (when applies):

The drivers with the least amount of incident points compete for points in the "Safest Driver" championship. Per race there will be a top 5 of safest drivers. Points given: 5, 4, 3, 2 and 1.

Rules to compete for this championship:

* You need to compete in both races per round (Heat 1 and Feature)
* You need to finish the race in "Running" order (Disconnect or DNS are excluded)
* You must have covered at least 70% of the race distance compared to the winner.
* When more drivers have the same amount of incidents, the lowest classified driver will be classified in front of the driver(s) with better classification in that race.

Pole position Championship (when applies):

* Initial pole position in the qualifying session will count for this championship
* In the case where multiple drivers have the same amount of pole positions, the driver with the most 2nd qualifying results will be "win" compared to the other driver. When this is the same again the 3rd position will count, etc.
* When only 2 drivers have acquired pole positions in the championship the 3rd position will be determined by the person with the most 2nd qualifying results, etc.

Fastest Race Laps Championship (when applies):

* The total number of fastest race laps set in the race sessions will count for this championship (1 fastest lap per race of course).
* In the case where multiple drivers have the same amount of fastest race laps we will look who has the most 2nd fastest laps, etc.
* When only 2 drivers have acquired fastest race laps in the championship the 3rd position will be determined by the person with the most 2nd fastest race laps, etc.

8.0. Broadcasts.

Broadcasts will start at ∼ 19:30 CEST (Amsterdam/Madrid) before the start of the race. This broadcast will be made on the channel of X-SiM Racing in Twitch, YouTube and Facebook.

Participating drivers will be able to issue their on-board camera. These broadcasts will be reported to the organization and promoted the same in the retransmission of the event itself.

Cameras may be broadcast on-board, provided that the organization is notified via mail or a ticket on Discord with the subject line: X-SiM Racing Series RETRANSMISSION. If no mail is received, the driver will not be able to issue.

If you issue without permission, you will be disqualified from the championship.

An X-SiM Racing logo is provided by the organization.
It is mandatory to put X-SiM Racing in the title of your and use our logo.

Interviews are conducted at the top 3 and drivers are asked to be within 2 minutes AFTER THE RACE in the pre-interview room in our Discord.
